Welcome to Tradetron Inc. (“Tradetron”, “we”, “our”, or “us”). These Terms of Use (“Terms”) govern your access to and use of our website, products, services, and platform (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy.

1. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement under U.S. law. The Services are intended for users located in the United States. By using the Services, you represent and warrant that:

  • You are not prohibited from using the Services under any applicable law.

  • You are not barred from receiving services under U.S. law (e.g., OFAC restrictions).

2. Services Overview

Tradetron is a cloud-based platform enabling users to create, test, deploy, and automate algorithmic trading strategies, including integration with U.S.-based brokerage APIs. Tradetron does not provide investment, tax, or legal advice. Tradetron is not a registered broker-dealer or investment advisor.

3. Third-Party Brokers and Integrations

We provide integrations with third-party broker-dealers such as Interactive Brokers, TradeStation, and others.

  • Execution of trades is performed solely through your brokerage account.

  • You are subject to the broker’s customer agreement, fees, and compliance obligations.

  • Tradetron does not hold customer funds or execute orders directly.

Regulatory Note: Third-party brokers used via Tradetron are typically registered with the SEC and are members of FINRA and SIPC.

4. Risk Disclosure

  • Trading involves substantial risk, including loss of principal.

  • Past performance is not indicative of future results.

  • Use of leverage, derivatives, or complex options strategies can amplify risk.

  • Tradetron is not responsible for execution errors, delays, or platform outages.

CFTC Rule 4.41 Compliance: Hypothetical or simulated performance results have inherent limitations and may not reflect actual trading results.

5. Registration and Account Security

You must create an account to access certain features of the Services.

  • You agree to provide accurate and complete information during registration.

  • You are responsible for maintaining the confidentiality of your credentials.

  • You must promptly notify us of any unauthorized access or use of your account.

6. Use of the Platform

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not:

  • Reverse engineer or attempt to derive the source code of the platform;

  • Transmit harmful code or engage in activity that could damage our systems;

  • Interfere with or circumvent trading limits, strategy restrictions, or API rate controls.

7. Subscription Plans, Fees, and Payments

  • Some features require a paid subscription.

  • Subscription fees are charged in USD and may recur monthly or annually.

  • You authorize Tradetron to charge your payment method for fees.

  • Tradetron may suspend access for nonpayment.

8. Intellectual Property

  • All content and technology are the property of Tradetron or its licensors.

  • You retain ownership of your strategy logic and uploaded content.

  • You grant Tradetron a non-exclusive, royalty-free license to use your content for platform functionality.

9. User-Generated Content

If you publish or share strategies, signals, or comments:

  • You are responsible for compliance with laws and our community standards.

  • We may moderate or remove content at our discretion.

10. No Investment Advice

Tradetron is a technology platform. Nothing on the platform constitutes legal, tax, or investment advice, or a recommendation to buy or sell securities.

11. Regulatory Compliance

  • Tradetron is not registered with the SEC, FINRA, or CFTC as a broker‐dealer or investment advisor.

  • It is your responsibility to ensure compliance with U.S. federal and state securities laws in your trading activity.

  • Brokerages you connect to may issue required tax documentation (e.g., 1099s).

12. Termination and Suspension

  • We may suspend or terminate your account at any time, with or without notice, for violating these Terms, engaging in unlawful activity, or creating legal exposure.

  • You may close your account at any time. Termination does not relieve you of payment obligations or indemnity responsibilities.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW:

  • Tradetron, its affiliates, officers, directors, employees, agents, licensors, and service providers shall not be liable for any direct, indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of profits, trading losses, or business interruption.

  • This limitation applies to claims arising out of your access to or use of the platform, bugs, errors, delays, or omissions in the Services, or actions of third-party service providers.

Under no circumstances shall Tradetron’s total liability exceed the total fees you paid to Tradetron in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless Tradetron, its officers, employees, affiliates, and agents from any claims, damages, liabilities, and expenses (including legal fees) arising out of your use of the Services, your violation of these Terms, or your violation of any applicable laws.

15. Dispute Resolution and Arbitration

  • Arbitration Agreement: You agree that any dispute with Tradetron will be resolved through binding individual arbitration in accordance with AAA rules. You waive your right to a jury trial and class action.

  • Arbitration shall occur in the State of Delaware, under U.S. law.

16. Governing Law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles.

17. Modifications to Terms

We may update these Terms periodically. Material changes will be notified via email or posted on the platform. Continued use after changes become effective constitutes acceptance.

18. Force Majeure

Tradetron is not liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, internet outages, government orders, or market disruptions.

19. Miscellaneous

  • These Terms constitute the entire agreement between you and Tradetron.

  • If any provision is held to be unenforceable, the remaining provisions will remain in effect.

  • You may not assign these Terms without our consent.
